Taylor Bracewell -Make sure you file Companies House returns with new codes



Any company filing a return at Companies House from 1st October 2011 will find that there has been a change to the way the business activity is coded. 

Companies will now need to use the new “SIC 2007” coding on forms SE FM01, SE FM02, SE FM03, SE FM04, SE FM05, SE TR02 and SE TR03.  Details of the codes can be found on Companies House web site at http://www.companieshouse.gov.uk/infoAndGuide/sic/sic2007.shtml

If the company’s shares are not publicly trading, the annual return must contain a “full list” of all shareholders on the first annual return after incorporation, and then on every third annual return thereafter.  Details of share transfers within that period must be notified on intervening annual returns.

Companies with publicly trading shares have to provide details of issued shareholdings greater than 5% every year.  Details of transfers of shares each year are to be notified, but the three year rule does not operate for these companies.

Different rules apply for companies governed by the Vote Holder and Issuer Notification Rules issued by the FSA.
